These Terms of Use ("Terms") are a legal agreement between you ("you" or "User") and CleverCam (Pty) Ltd ("Company," "we," "us," or "our"), a company registered in South Africa at Den Haag Street, Die Heuwel, Witbank, Mpumalanga 1035. They govern your access to and use of the CleverPro mobile application, previously called CleverTech (the "App").

CleverPro is the field-service companion app for service and security technicians, and the sales staff who work alongside them, at companies operating on the CleverCam platform. It is an operational tool for staff — not a consumer product. By signing in to or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the App.

SUMMARY OF KEY POINTS

  • A work tool, not a guarantee. CleverPro helps you see your assigned jobs and record your work. It does not guarantee that jobs, notifications, positions, or synced data will be complete, accurate, or on time, and is not a substitute for your training, your company's procedures, or safe working practice.
  • Authorized use only. You may use the App only as authorized staff of a company that uses the CleverCam platform, and only for your work for that company.
  • Your access is managed by your company. There is no sign-up inside the App. You sign in with a CleverCam email address and password, and your company adds your account to its team, assigns your work, and can remove your access.
  • Location at the moment you log an action. If you allow it, the App takes one position when you log an action. It does not track you continuously or collect location in the background. See the Privacy Policy.
  • Accurate records. You must not falsify job records, checklists, photos, signatures, positions, vehicle checks, or licence details.
  • Other people's information. You may capture customer and contact details only as your company permits, and only to provide its services.
  • No fees to you. The App is provided to you through your company. We do not charge you to use it.
  • Provided "as is." The App is provided on an "as is" and "as available" basis, and our liability is limited as set out below.
  • Access can be suspended, and you can leave. We or your company may suspend or terminate your access, including for breach of these Terms. You can delete your account inside the App at any time.
  • South African law applies. These Terms are governed by South African law, with disputes subject to the courts of Mpumalanga.

1. AGREEMENT TO THESE TERMS

These Terms, together with our Privacy Policy and any supplemental terms made available to you, constitute a binding agreement between you and CleverCam (Pty) Ltd. By accessing or using the App, you confirm that you have read, understood, and agree to be bound by all provisions. If you are using the App in the course of your work for a company, you confirm that you are authorized to do so. If you do not agree, you must stop using the App immediately.

2. WHAT CLEVERPRO IS — AND IS NOT

CleverPro is an operational tool that lets authorized staff view assigned jobs, access customer and site details, record the work they carry out, attach photos, check vehicles in and out, and complete and sign off jobs, including while offline. Depending on the access your company gives you, it may also let you work with customers, leads, quotes, and tickets.

CleverPro is not:

  • a guarantee that a job, notification, or update will reach you, or that any job, customer, or site information is complete or correct;
  • a substitute for your professional training, your company's procedures, your own judgment, or applicable law, including health and safety and road traffic law;
  • proof on its own that a vehicle is roadworthy, that a driver is licensed, or that work meets any standard.

Your company, not us, is responsible for the work it does for its customers, including its quotes, prices, and service commitments.

3. ELIGIBILITY & AUTHORIZATION

By using the App, you represent and warrant that: a. you are at least 18 years old and have the legal capacity to enter into these Terms; b. you are an employee, contractor, or other authorized staff member of a company that uses the CleverCam platform; c. you will use the App only in connection with your work for that company; and d. you will comply with these Terms and all applicable laws and regulations, including those governing the protection of personal information.

4. YOUR ACCOUNT & SIGN-IN

No sign-up inside the App. You cannot create an account inside the App. You sign in with a CleverCam account, either one your company set up for you or one you already use in another CleverCam app. Your company adds that account to its team, assigns your work, and manages your access. Until a company adds you, the App shows a "No company yet" screen.

Sign-in. You sign in with your CleverCam email address and password or, if you are already signed in to another CleverCam app on the same phone, with "Continue as." You are responsible for:

  • keeping your password and device secure and confidential;
  • all activity that occurs under your account; and
  • promptly notifying your company if your device is lost or stolen, or if you suspect unauthorized use of your account.

You must not share your account or allow any other person to sign in as you.

5. ACCEPTABLE USE

When using the App, you agree to:

  • use it solely for work authorized by your company;
  • follow your company's procedures and all applicable laws while carrying out that work;
  • not operate the App while driving, and use it only when it is safe to do so;
  • record your work, checklists, and sign-offs honestly and accurately; and
  • respect the privacy and rights of customers, members of the public, and colleagues, including when taking photos.

6. LOCATION

If you allow location access, the App takes one position from your phone at the moment you log an action, such as a job step, a checklist answer, a photo, a sign-off, taking, checking, or handing back a vehicle, or inspecting or updating equipment. The App does not track you continuously and does not collect location in the background.

Location is optional. If you refuse permission or switch location off, your actions are still saved without a position, except that a site's map position cannot be pinned from where you stand without one. You can change this permission at any time in your device settings. Our Privacy Policy describes how positions are processed and who can see them.

7. JOB RECORDS, VEHICLE CHECKS & ACCURACY

Job updates, checklist responses, notes, photos, signatures, positions, vehicle checks, and other information you submit through the App become part of your company's service record. You agree that all information you submit will be true, complete, and accurate to the best of your knowledge.

Falsifying, fabricating, or tampering with these records is strictly prohibited. This includes logging work you did not do, signing on behalf of another person without authority, using a mock-location app to misstate where an action was logged, and scanning a driving licence that is not your own. Doing so may result in termination of your access, as well as disciplinary, civil, or criminal consequences.

8. CUSTOMER & OTHER PEOPLE'S INFORMATION

The App may show you, or let you add or update, personal information about your company's customers and other people, as well as sensitive operational details such as logins for equipment installed at a site. You agree to:

  • capture only information you are permitted to capture, and only to provide your company's services;
  • keep this information confidential and not copy, share, or use it for any other purpose; and
  • follow your company's instructions on how this information is handled.

Your company is responsible for deciding what may be captured and for informing those people how their information is used. We process this information on your company's behalf.

9. OFFLINE USE & SYNC

CleverPro works offline. Job, site, and customer data is cached on your device, and work you record is delivered to the platform when a connection is available. Until it syncs, your work exists only on your phone and your company cannot see it. You are responsible for reconnecting so that your work can sync, and for telling your company if the App reports that work could not be delivered. Work still waiting on your phone cannot be delivered after you delete your account or remove the App.

10. PROVISION & FEES

The App is made available to you through your company as part of its use of the CleverCam platform. We do not charge you any fee to use the App. Any commercial arrangement relating to the platform is between CleverCam (Pty) Ltd and your company and is governed by separate terms. Mobile data used by the App is at your or your company's cost.

11. INTELLECTUAL PROPERTY & LICENSE

The App and all of its content, software, designs, text, graphics, trademarks, and logos are owned by or licensed to CleverCam (Pty) Ltd and are protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the App on a device you control, solely for your authorized work. You acquire no other rights in the App.

12. SOFTWARE & UPDATES

The App may download and install updates automatically. You agree to receive such updates as part of your use of the App. We may add, change, or remove features of the App at any time, and may require you to use the most recent version. Your use of the App is governed by these Terms and any accompanying end-user license terms of your device's app store.

13. PROHIBITED ACTIVITIES

You agree not to:

  • use the App other than as authorized staff for legitimate work;
  • share your account, sign in on behalf of another person, or allow unauthorized persons to use the App;
  • falsify, fabricate, alter, or delete job records, checklists, photos, signatures, positions, vehicle checks, or other records;
  • access or use customer, site, or equipment information for any purpose unrelated to your work;
  • reverse-engineer, decompile, disassemble, or attempt to extract the source code of the App;
  • bypass or interfere with security, authentication, or access controls;
  • upload viruses, malware, or other malicious code, or otherwise disrupt the App or platform; or
  • use the App for any unlawful, harassing, or unauthorized purpose.

14. SUSPENSION, TERMINATION & DELETING YOUR ACCOUNT

Your access to the App depends on your continued authorization by your company. We or your company may suspend, restrict, or terminate your access at any time, with or without notice, including where you breach these Terms, where your authorization ends, or where required to protect the platform or other users. Upon termination, your license to use the App immediately ends. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

Deleting your account. You can delete your account at any time inside the App: Profile → Delete account. This removes your CleverCam login, which all CleverCam apps share, and your personal profile. 15. DISCLAIMERS

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CleverCam (Pty) Ltd DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT JOBS, NOTIFICATIONS, POSITIONS, OR SYNCED DATA WILL BE ACCURATE OR DELIVERED; OR THAT THE APP WILL BE AVAILABLE AT ANY GIVEN TIME. THE APP DEPENDS ON YOUR DEVICE, OPERATING SYSTEM, MOBILE NETWORK, GPS, AND THIRD-PARTY SERVICES THAT ARE OUTSIDE OUR CONTROL. YOU REMAIN SOLELY RESPONSIBLE FOR YOUR CONDUCT AND DECISIONS WHILE CARRYING OUT YOUR WORK.

16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CleverCam (Pty) Ltd AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR FOR ANY PERSONAL INJURY, PROPERTY DAMAGE, OR DEATH, ARISING FROM OR RELATED TO YOUR USE OF — OR INABILITY TO USE — THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE APP WILL NOT EXCEED ZAR 1,000. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

17. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless CleverCam (Pty) Ltd and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your misuse of the App, your breach of these Terms, your violation of any law, or your infringement of the rights of any third party.

18. PRIVACY

Our Privacy Policy describes how we collect, use, and share personal information in connection with the App, including positions logged with your actions and driving-licence scans. By using the App, you acknowledge our processing of personal information as described in that policy.

19. MODIFICATIONS & INTERRUPTIONS

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date. Material changes may be notified to you or to your company. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms. We may also modify, suspend, or discontinue the App (or any part of it) at any time, with or without notice, and will not be liable for any such modification, suspension, or discontinuation.

20. GOVERNING LAW

These Terms and any dispute arising under them are governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles.

21. DISPUTE RESOLUTION

Any dispute arising out of or relating to these Terms or the App will be subject to the exclusive jurisdiction of the courts of Mpumalanga, South Africa.
