These Terms of Use ("Terms") are a legal agreement between you ("you," "Responder," or "User") and CleverCam (Pty) Ltd ("Company," "we," "us," or "our"), a company registered in South Africa at Den Haag Street, Die Heuwel, Witbank, Mpumalanga 1035. They govern your access to and use of the CleverResponder mobile application (the "App").

CleverResponder is the field companion app for armed-response and security units operating on the CleverCam platform. It is an operational tool for professional security personnel — not a consumer product. By signing in to or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the App.

SUMMARY OF KEY POINTS

  • Operational tool, not a safety guarantee. CleverResponder helps coordinate dispatch and record on-scene activity. It does not guarantee dispatch, location accuracy, connectivity, or response times, and is not a substitute for your training, your company's SOPs, or emergency services.
  • Authorized use only. You may use the App only as an authorized responder of a security company that uses the CleverCam platform, and only for legitimate operational duties.
  • Your account is managed by your security company. There is no self-registration; you sign in with your mobile number and a one-time PIN (OTP). Your company creates, manages, and removes your access through CleverOps.
  • On-shift location. While you are on shift, the App collects location (including in the background) so the control room can dispatch and route you. See the Privacy Policy.
  • Accurate records. You must not falsify evidence, checklists, or any information you submit through the App.
  • No fees to you. The App is provided to you through your security company. We do not charge you, the Responder, to use it.
  • Provided "as is." The App is provided on an "as is" and "as available" basis, and our liability is limited as set out below.
  • We can suspend access. We or your security company may suspend or terminate your access at any time, including for breach of these Terms.
  • South African law applies. These Terms are governed by South African law, with disputes subject to the courts of Mpumalanga.

1. AGREEMENT TO THESE TERMS

These Terms, together with our Privacy Policy and any supplemental terms made available to you, constitute a binding agreement between you and CleverCam (Pty) Ltd. By accessing or using the App, you confirm that you have read, understood, and agree to be bound by all provisions. If you are using the App on behalf of, or in the course of your duties for, a security company, you confirm that you are authorized to do so. If you do not agree, you must stop using the App immediately.

2. WHAT CLEVERRESPONDER IS — AND IS NOT

CleverResponder is an operational coordination tool that lets authorized security responders receive dispatch alerts, navigate to incidents, capture on-scene evidence (photos and QR scans), and complete on-scene checklists.

CleverResponder is not:

  • an emergency service, and not a replacement for emergency services or your own emergency communications;
  • a guarantee that you will be dispatched, that a dispatch will reach you, that navigation or location will be accurate, or that any incident information is complete or correct;
  • a substitute for your professional training, your security company's standard operating procedures (SOPs), your situational judgment, or applicable law.

You must always rely on your training, your company's SOPs, and your own judgment when responding to any incident, and must never rely solely on the App, particularly in situations involving risk to life or safety.

3. ELIGIBILITY & AUTHORIZATION

By using the App, you represent and warrant that: a. you are at least 18 years old and have the legal capacity to enter into these Terms; b. you are an employee, contractor, or otherwise authorized responder of a security company that uses the CleverCam platform; c. you will use the App only in connection with your legitimate operational duties for that company; and d. you will comply with these Terms and all applicable laws and regulations, including those governing private security, the use of force, firearms, and the protection of personal information.

4. YOUR ACCOUNT & SIGN-IN

No self-registration. You cannot create an account inside the App. Your responder account is created, configured, and removed by your security company through CleverOps, the CleverCam operations platform.

Sign-in. You sign in using your mobile number and a one-time PIN (OTP) sent to you. You are responsible for:

  • keeping your sign-in method, OTP, and device secure and confidential;
  • all activity that occurs under your account; and
  • promptly notifying your security company if your device is lost or stolen, or if you suspect unauthorized use of your account.

You must not share your account or allow any other person to sign in as you.

5. ACCEPTABLE USE & RESPONDER OBLIGATIONS

When using the App, you agree to:

  • use it solely for legitimate operational purposes authorized by your security company;
  • follow your company's SOPs and all applicable laws when responding to incidents;
  • keep location services enabled while on shift to the extent required for dispatch and routing;
  • capture evidence (photos, QR scans) and complete checklists honestly and accurately; and
  • respect the privacy and rights of members of the public, clients, and other persons when capturing evidence.

You must not use the App to harass, intimidate, or unlawfully surveil any person, or to capture, store, or share content for any purpose unrelated to a legitimate incident response.

6. LOCATION & ON-SHIFT TRACKING

CleverResponder relies on location to function. While you are on shift, the App collects precise and approximate location, including in the background, so the control room can dispatch the closest unit and track your approach to an incident. Location is not collected when you are off shift.

By going on shift and using the App, you consent to this on-shift location processing as described in our Privacy Policy. You may revoke location permission in your device settings or by going off shift, but doing so will limit or prevent the App's ability to dispatch and route you.

7. EVIDENCE, CHECKLISTS & ACCURACY

Photos, QR scans, checklist responses, and other information you submit through the App become part of the operational and incident record maintained for your security company. You agree that all information you submit will be true, complete, and accurate to the best of your knowledge. Falsifying, fabricating, or tampering with evidence or checklist responses is strictly prohibited and may result in termination of your access, as well as disciplinary, civil, or criminal consequences.

8. PROVISION & FEES

The App is made available to you through your security company as part of its use of the CleverCam platform. We do not charge you, the Responder, any fee to use the App. Any commercial arrangement relating to the platform is between CleverCam (Pty) Ltd and your security company and is governed by separate terms.

9. INTELLECTUAL PROPERTY & LICENSE

The App and all of its content, software, designs, text, graphics, trademarks, and logos are owned by or licensed to CleverCam (Pty) Ltd and are protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the App on a device you control, solely for your authorized operational duties. You acquire no other rights in the App.

10. SOFTWARE & UPDATES

The App may download and install updates automatically. You agree to receive such updates as part of your use of the App. We may add, change, or remove features of the App at any time, and may require you to use the most recent version. Your use of the App is governed by these Terms and any accompanying end-user license terms of your device's app store.

11. PROHIBITED ACTIVITIES

You agree not to:

  • use the App other than as an authorized responder for legitimate operational duties;
  • share your account, sign in on behalf of another person, or allow unauthorized persons to use the App;
  • falsify, fabricate, alter, or delete evidence, checklists, location, or other records;
  • reverse-engineer, decompile, disassemble, or attempt to extract the source code of the App;
  • bypass or interfere with security, authentication, or access controls;
  • upload viruses, malware, or other malicious code, or otherwise disrupt the App or platform;
  • use the App for any unlawful, harassing, or unauthorized purpose; or
  • use the App to collect or process personal information except as needed for a legitimate incident response.

12. SUSPENSION & TERMINATION

Your access to the App depends on your continued authorization by your security company. We or your security company may suspend, restrict, or terminate your access at any time, with or without notice, including where you breach these Terms, where your authorization ends, or where required to protect the platform or other users. Upon termination, your license to use the App immediately ends. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

13. DISCLAIMERS

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CleverCam (Pty) Ltd DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DISPATCH ALERTS, NAVIGATION, OR LOCATION WILL BE ACCURATE OR DELIVERED; OR THAT THE APP WILL BE AVAILABLE AT ANY GIVEN TIME, INCLUDING DURING AN EMERGENCY. THE APP DEPENDS ON YOUR DEVICE, OPERATING SYSTEM, MOBILE NETWORK, GPS, AND THIRD-PARTY SERVICES THAT ARE OUTSIDE OUR CONTROL. YOU REMAIN SOLELY RESPONSIBLE FOR YOUR CONDUCT AND DECISIONS DURING ANY RESPONSE.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CleverCam (Pty) Ltd AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR FOR ANY PERSONAL INJURY, PROPERTY DAMAGE, OR DEATH, ARISING FROM OR RELATED TO YOUR USE OF — OR INABILITY TO USE — THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE APP WILL NOT EXCEED ZAR 1,000. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless CleverCam (Pty) Ltd and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your misuse of the App, your breach of these Terms, your violation of any law, or your infringement of the rights of any third party.

16. PRIVACY

Our Privacy Policy describes how we collect, use, and share personal information in connection with the App, including on-shift background location. By using the App, you acknowledge our processing of personal information as described in that policy.

17. MODIFICATIONS & INTERRUPTIONS

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date. Material changes may be notified to you or to your security company. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms. We may also modify, suspend, or discontinue the App (or any part of it) at any time, with or without notice, and will not be liable for any such modification, suspension, or discontinuation.

18. GOVERNING LAW

These Terms and any dispute arising under them are governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles.

19. DISPUTE RESOLUTION

Any dispute arising out of or relating to these Terms or the App will be subject to the exclusive jurisdiction of the courts of Mpumalanga, South Africa.
